Sensata Technologies, Inc. VP, Legal, Global Contracts in Attleboro, Massachusetts

The VP, Global Contracts will manage and coordinate the full global contracts lifecycle for both procurement and sell-side agreements. Will be responsible for leading a US based team of professionals, and also collaborating with teams based in Europe and Asia to ensure standardized global contracting procedures and processes. Will partner closely with global procurement contracting functions and improve their ability to operate independently with the use of templates, negotiation playbooks and other tools. Will also support sell-side contracting by all businesses as well as our Ventures group. Candidate must have several years of experience managing global contracting teams and demonstrated success in implementing process and procedures to improve and measure efficiency and cycle time gains. Candidate must also have several years of experience with multi-element agreements and associated revenue recognition principles. Experience must include a deep understanding of all forms of software offerings (On-Prem, SaaS, Cloud, Open Source, etc.). The Contracting function will support various channel distribution models globally so candidate must have a strong working knowledge of various laws and policies regarding anti-bribery, data privacy, antitrust, etc.

General Responsibilities

  • Manage the global contracts lifecycle including contract request, contract initiation, review, approval, routing, storage and record keeping, all in a high-volume environment with quick turnaround times and SLA’s. Prior experience managing, and preferably implementing, a top tier contract management tool required

  • Work closely with procurement, sales and marketing teams, and other functional groups to ensure compliance with legal requirements and company policies

  • Responsible for the quality, cycle time and other related performance metrics of company contracting

  • Work closely with the businesses and Ventures teams for the new product introduction and commercialization process, and negotiate and draft complex technology agreements for different business model ecosystems

  • Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal matters in a pragmatic way that results in actionable business advice

  • Lead initiatives to improve contract processes, including by reducing cycle times and increasing efficiency

  • Workflow process improvement, playbook development, training, and forms updating

Experience / Qualifications

  • Minimum of a J.D.

  • Minimum 15 years’ experience with multi-element transactions involving hardware, software and services. Preferably 10+ years in the software industry (with expertise in various licensing models, offerings and services); including global experience with on-premises licensing, cloud/SaaS offerings, open source and software development and commercialization practices.

  • Prior experience managing, and preferably implementing, a top tier contract lifecycle management tool

  • Experience managing a large contracting function for a large US multinational company required

  • Significant experience in developing and implementing global processes, procedures and tools for contracting

  • Broad based experience in technology licensing transactions

  • Knowledge of interpreting software licensing terms and conditions;

  • Possess outstanding drafting skills, be a creative problem solver while maintaining attention to detail, be highly organized, demonstrate motivation and initiative, be able to work with minimal supervision, and be able to multitask and work quickly and collaboratively under tight deadlines.

  • Integrity and excellent communication skills, as well as superior computer skills with experience in the Microsoft Office Suite.

  • Be available for occasional international or domestic travel.
